1. Acceptance of Terms

By downloading, installing, or using StudyKit ("the App"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms or the Privacy Policy, do not use the App.

2. Description of Service

StudyKit is an academic planning and organization application designed to help students manage their courses, assignments, schedules, grades, and study time. The App is available on iOS, iPadOS, macOS, and visionOS platforms.

Core features include:

  • Course and semester management
  • Assignment tracking with due dates and grades
  • Calendar and schedule organization
  • Study session timer with productivity tracking
  • Grade calculation and GPA tracking
  • Cloud sync across your Apple devices
  • Kit AI Study Companion—AI-powered tutoring and academic assistance

3. Eligibility

To create an account, you must have a valid email address from a U.S. educational institution (.edu domain). This requirement ensures our service is used by students and staff at accredited educational institutions. You must be at least 13 years old to use the App. If you are under 18, you represent that you have your parent or guardian's permission to use the App.

4. User Accounts

  • An account is required to use the App
  • Your account enables cloud synchronization across your devices
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must provide accurate information when creating your account
  • You may delete your account at any time through the App settings

5. Subscriptions and Payments

StudyKit offers free features and optional premium subscriptions:

  • Free Tier: Core features are available at no cost
  • Premium Subscriptions: Additional features available through in-app purchase
  • Billing: Subscriptions are billed through Apple (App Store) according to your chosen plan (monthly or annual)
  • Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
  • Cancellation: You may cancel your subscription at any time through your Apple ID settings. Upon cancellation, you will retain access through the end of your current billing period. No prorated refunds are provided for partial periods
  • Refunds: Refund requests are handled by Apple according to their refund policies
  • Price Changes: We may change subscription prices with notice. Existing subscribers will be notified before any price increase takes effect

6. User Content

You retain all rights to the content you create within the App. By using the App, you grant us permission to:

  • Store your content locally on your device
  • Sync your content to our servers when you are signed in
  • Display your content within the App
  • Create backup copies of your content for data protection

AI-Generated Content: Content generated by Kit (our AI study companion) is provided for your personal academic use. You may use AI-generated responses for studying, learning, and personal reference. However, you are solely responsible for how you use this content, including compliance with your institution's academic integrity policies. We make no claim of ownership over AI-generated content, but we also do not guarantee any rights to such content.

7. File Uploads

The App allows you to upload files such as syllabus documents and assignment attachments:

  • Size Limit: Individual files may not exceed 25 MB
  • Acceptable Content: You may only upload content you have the right to use (your own photos, documents, etc.)
  • Prohibited Content: You may not upload illegal content, malware, or content that violates others' rights
  • Storage: Uploaded files count toward any applicable storage limits

8. Acceptable Use

You agree not to use the App to:

  • Violate any laws or regulations
  • Infringe on the rights of others
  • Distribute malicious software or content
  • Attempt to gain unauthorized access to the App or its systems
  • Interfere with or disrupt the App's services or servers
  • Use the App for any commercial purposes without our written consent
  • Reverse engineer, decompile, or disassemble the App
  • Share your account credentials with others

9. Intellectual Property

The App and its original content, features, and functionality are owned by StudyKit Inc. and are protected by copyright law. This includes:

  • App design and user interface
  • Source code
  • Documentation and marketing materials

You may not copy, modify, distribute, or create derivative works based on the App without our written permission.

10. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

  • The App will meet your requirements
  • The App will be uninterrupted, timely, secure, or error-free
  • The results obtained from the App will be accurate or reliable
  • Any errors in the App will be corrected

11. Limitation of Liability

To the fullest extent permitted by law, StudyKit Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from:

  • Your use or inability to use the App
  • Any unauthorized access to your data
  • Any interruption or cessation of service
  • Any bugs, viruses, or errors in the App
  • Any loss of data or academic information

Our total liability shall not exceed the greater of (a) the amount you paid for the App in the 12 months preceding any claim, or (b) fifty dollars ($50).

12. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless StudyKit Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the App
  • Your violation of these Terms
  • Your violation of any third-party rights, including academic integrity policies
  • Your use or misuse of AI-generated content
  • Any content you submit, post, or transmit through the App

13. Educational Purpose Disclaimer

StudyKit is designed as a personal organization tool to assist with academic planning. Important disclaimers:

  • Not Official Records: Data in StudyKit is not a substitute for official academic records, transcripts, or institutional systems
  • Grade Calculations: Grade calculations are estimates based on your input and may not match your institution's calculations
  • No Academic Advice: The App does not provide professional academic, financial, or career advice
  • Your Responsibility: You are responsible for verifying important dates, grades, and requirements with your institution
  • Data Accuracy: We are not responsible for any consequences arising from inaccurate data entry or calculations
  • No Institutional Affiliation: StudyKit is not affiliated with, endorsed by, or connected to any school, college, university, or educational institution. We do not have access to your institution's systems, databases, or official records

14. AI Features Disclaimer

StudyKit includes Kit, an AI-powered study companion that provides tutoring assistance, answers academic questions, and helps with study planning. By using Kit, you acknowledge and agree to the following:

  • Not a Substitute for Human Assistance: Kit is an AI tool, not a replacement for teachers, tutors, academic advisors, or professional guidance. For important academic decisions, consult qualified professionals
  • Accuracy Not Guaranteed: AI responses may contain errors, inaccuracies, or outdated information. Always verify important information—such as grades, deadlines, policies, and requirements—with official sources and your institution
  • Academic Integrity: You are solely responsible for using AI assistance ethically and in compliance with your institution's academic integrity policies. AI-generated content should not be submitted as your own original work unless permitted by your instructor or institution
  • Grade Estimates: Kit's grade calculations and projections are estimates based on the data you provide and may differ from your institution's official calculations
  • Third-Party Service: Kit is powered by a third-party AI service. Your conversations and relevant academic data are processed by our AI provider to generate responses
  • Service Availability: AI features depend on third-party services and internet connectivity. They may be subject to usage limits, temporary outages, degraded performance, or changes without notice
  • No Liability for AI Content: We are not responsible for any academic, professional, personal, or other consequences arising from your reliance on AI-generated content or advice
  • Content Limitations: Kit cannot create downloadable files, access real-time classroom content, or interact with your institution's systems. It can only work with information you have provided to StudyKit

Prohibited Uses of AI Features: You may not use Kit or any AI features to:

  • Generate content intended to deceive instructors or circumvent academic integrity policies
  • Create harassing, threatening, defamatory, or otherwise harmful content
  • Attempt to extract, reverse-engineer, or probe the AI system's training data or internal workings
  • Generate content that violates any laws or regulations
  • Overwhelm the service with automated requests or abuse usage limits
  • Impersonate instructors, institutions, or other individuals

Violation of these prohibited uses may result in immediate termination of your access to AI features and/or your account.

Content Moderation: We reserve the right to review, filter, or moderate content submitted to or generated by Kit to ensure compliance with these Terms and applicable laws. We may limit, suspend, or terminate AI features if we detect abuse, policy violations, or behavior that threatens the safety or integrity of our service.

15. Updates and Modifications

We reserve the right to:

  • Modify or discontinue the App or any features at any time
  • Update these Terms with reasonable notice
  • Change features, functionality, or pricing
  • Require App updates for continued use

For material changes to these Terms, we will provide at least 30 days' notice via email (if you have an account) or through a prominent notice in the App. For non-material changes, we will update the "Last Updated" date at the top of this page. Continued use of the App after changes take effect constitutes acceptance of the modified Terms.

16. Termination

We may terminate or suspend your access to the App:

  • For violation of these Terms, after providing notice and a reasonable opportunity to cure (except for material breaches or violations of Acceptable Use policies, which may result in immediate termination)
  • If required by law
  • If we discontinue the service (with reasonable notice)

Upon termination:

  • Your right to use the App ceases immediately
  • You may export your data before termination takes effect (where possible)
  • We may delete your data according to our data retention policies

17. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the District of Columbia, United States, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of the App shall be resolved through:

  • Good faith negotiation
  • If unresolved, binding arbitration under the rules of the American Arbitration Association
  • Class action waiver: You agree to resolve disputes individually and waive any right to participate in class actions

Arbitration Details:

  • Location: Arbitration will be conducted in the District of Columbia, or at your election, via telephone or video conference
  • Fees: Each party will pay their own arbitration fees and costs, unless the arbitrator determines otherwise
  • Small Claims Exception: Either party may bring an individual action in small claims court for disputes within that court's jurisdiction
  • Time to File: Any claim or dispute arising under these Terms must be filed within one (1) year after the cause of action arises, or such claim will be permanently barred

Arbitration Opt-Out: You may opt out of the arbitration provision by sending written notice to contact@studykit.education within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the courts of the District of Columbia.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

20. Third-Party Services

The App may display content from, link to, or integrate with third-party websites, services, or resources (including web search results provided by Kit). We do not control and are not responsible for such third-party content, websites, or services. Your use of third-party services is governed by their respective terms and privacy policies. We are not liable for any harm or loss caused by your use of or reliance on third-party services.

21. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by StudyKit Inc.

22. Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction (including in connection with a merger, acquisition, or sale of assets). Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

23. Feedback

If you provide us with feedback, suggestions, or ideas about the App ("Feedback"), you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, modify, create derivative works from, and incorporate such Feedback into the App or our other products and services without any obligation to you. You waive any rights you may have in such Feedback.

24. Apple App Store Terms

If you downloaded the App from the Apple App Store, the following additional terms apply:

  • These Terms are between you and StudyKit Inc. only, and not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content.
  • Apple has no obligation to furnish any maintenance or support services with respect to the App.
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App.
  • Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and use of the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
  • In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Apple will not be responsible for the investigation, defense, settlement, or discharge of any such intellectual property infringement claim.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

25. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations under these Terms where such failure or delay results from circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, acts of government, internet or infrastructure failures, cyberattacks, or disruptions to third-party services we rely upon.

26. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and StudyKit Inc. regarding the use of the App, superseding any prior agreements.
